Terms of Service

1. Nature of the Platform

Taskal facilitates the connection between Customers and Taskers. All transactions, arrangements, agreements, and communications regarding services are solely between the Customer and the Tasker. Taskal is not a party to any agreement entered into between Customers and Taskers, including but not limited to service contracts, pricing arrangements, or any other agreements regarding work to be performed.

2. No Verification of Listings or Users

You acknowledge and agree that:

• Taskal does not verify, inspect, or validate any service listing, description, photograph, pricing, qualifications, credentials, or any other information posted by Taskers on the Platform.
• Taskal does not conduct background checks, criminal record checks, identity verification, credit checks, or reference checks on any User.
• Taskal does not verify whether any Tasker holds the required licences, certifications, permits, trade qualifications, insurance, or professional credentials for the services they offer.
• Taskal does not guarantee the quality, safety, legality, timeliness, completion, or workmanship of any services offered or performed by Taskers.
• Taskal does not verify the identity, background, or legal authority of any Customer or Tasker.
• Any photographs, descriptions, reviews, ratings, or representations on the Platform are provided by Users and Taskal makes no warranties regarding their accuracy.

3. User Responsibility and Assumption of Risk

Taskers are solely responsible for:

• Holding all required licences, certifications, permits, trade qualifications, and professional credentials for the services they offer, as required by applicable federal, provincial, and municipal law.
• Maintaining adequate liability insurance, workers' compensation coverage, and any other insurance required by law or appropriate for the services they provide.
• The accuracy and completeness of all listing information, including service descriptions, photographs, pricing, availability, and qualifications.
• The quality, safety, legality, and workmanship of all services they perform.
• Complying with all applicable federal, provincial, and municipal laws, regulations, building codes, safety standards, and industry standards.
• Reporting and remitting all applicable taxes on income earned through the Platform, including income tax, HST/GST, and any other applicable taxes.
• Their own employment status — Taskers are independent contractors and not employees of Taskal, any Customer, or any other User.
• Any property damage, personal injury, or loss arising from services they perform.

Customers are solely responsible for:

• Conducting their own due diligence before hiring any Tasker, including independently verifying qualifications, licences, insurance, references, and credentials.
• Evaluating and vetting any Tasker before granting them access to their property or engaging their services.
• Ensuring the work environment is safe and accessible for the Tasker.
• Confirming the scope of work, pricing, and terms directly with the Tasker before work begins.
• Inspecting and approving completed work before making final payment.
• Maintaining adequate homeowner's or renter's insurance coverage.
• Any decisions made based on information or reviews found on the Platform.

4. Payments Between Users

Taskal does not process, handle, or facilitate payments between Customers and Taskers. All payment arrangements, including pricing, payment methods, deposits, and refunds, are agreed upon and handled directly between the Customer and Tasker. Taskal bears no responsibility for any payment disputes, non-payment, overcharging, or financial losses arising from transactions between Users.

5. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Taskal makes no warranty or representation that:

• Any service listed on the Platform will be performed competently, safely, legally, or to any particular standard.
• Any User's identity, credentials, qualifications, authority, or representations are accurate or truthful.
• The Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components.
• Any transaction or arrangement between Users will be completed satisfactorily.
• Any reviews or ratings on the Platform are accurate, genuine, or representative of a Tasker's abilities.

6. Limitation of Liability

To the maximum extent permitted by applicable law, 14047907 Canada Inc., its directors, officers, employees, agents, affiliates, successors, and assigns (collectively, the "Taskal Parties") shall not be liable for any:

• Direct, indirect, incidental, special, consequential, punitive, or exemplary damages;
• Loss of profits, revenue, data, goodwill, or use;
• Damage to or loss of property (including damage caused by a Tasker);
• Personal injury or death;
• Any damages arising from or related to any transaction, interaction, service performed, or dispute between Users;
• Any damages arising from unqualified, unlicensed, or uninsured Taskers;
• Any damages arising from incomplete, defective, or unsatisfactory work;
• Any damages arising from theft, fraud, or misconduct by any User;
• Any damages resulting from reliance on information, reviews, or ratings provided by any User or displayed on the Platform;

regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if the Taskal Parties have been advised of the possibility of such damages.

If, notwithstanding the foregoing, any Taskal Party is found liable, the aggregate liability of all Taskal Parties shall not exceed the lesser of (a) the total fees paid by you to Taskal in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100.00).

7. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless the Taskal Parties from and against any and all claims, demands, actions, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or in connection with:

• Your use of or access to the Platform;
• Any service listing you create or any service you hire through the Platform;
• Any transaction, arrangement, or dispute between you and another User;
• Any services you perform or receive through connections made on the Platform;
• Your breach or alleged breach of these Terms;
• Your violation of any applicable law, regulation, by-law, licensing requirement, or third-party right;
• Any claim by a third party (including clients, property owners, regulatory bodies, or municipal authorities) arising from your use of the Platform;
• Any damage to property or injury to any person arising from or related to services you performed or received.

8. No Employment Relationship

Nothing in these Terms or your use of the Platform creates an employment relationship, agency relationship, joint venture, partnership, or franchise relationship between you and Taskal. Taskers are independent contractors and not employees, agents, or representatives of Taskal. Taskal does not control or direct the manner in which any Tasker performs services. Any employment or contractor relationship exists solely between the Customer and the Tasker.

9. Intellectual Property

All content published and made available on the Site is the property of 14047907 Canada Inc. and the Site's creators. This includes, but is not limited to, images, text, logos, documents, downloadable files, and anything that contributes to the composition of our Site. You may not reproduce, distribute, or use any of our intellectual property without prior written consent.

10. User Accounts

When you create an account on the Platform, you agree that:

• You are solely responsible for your account and the security and privacy of your account, including any passwords or sensitive information attached to that account.
• All personal information you provide is current, accurate, and truthful, and you will update your information promptly if it changes.
• You will not create multiple accounts, impersonate another person, or transfer your account to any third party.

We reserve the right to suspend or terminate your account if you are using the Platform illegally or in violation of these Terms.

11. Acceptable Use

As a User, you agree to use the Platform lawfully and not to:

• Harass, threaten, or mistreat other Users;
• Post fraudulent, misleading, or deceptive listings or information;
• Offer services that you are not qualified, licenced, or insured to perform;
• Violate the intellectual property rights of Taskal or any third party;
• Attempt to gain unauthorized access to another User's account or to the Platform's systems;
• Use the Platform for any illegal purpose or in any manner that violates applicable law;
• Post content that is offensive, defamatory, obscene, or otherwise objectionable;
• Solicit Users to transact outside the Platform in order to avoid fees;
• Use automated tools, bots, or scrapers to access or collect data from the Platform;
• Circumvent, disable, or interfere with any security-related features of the Platform.

If we believe you are violating these Terms, we reserve the right to limit, suspend, or terminate your access to the Platform without notice. We also reserve the right to take any legal steps necessary to prevent further violations.

12. User Content

Users may post the following types of content on the Platform:

• Service listings and descriptions;
• Photographs of completed work or services offered;
• Reviews and ratings of other Users;
• Messages to other Users through the Platform's messaging system.

By posting content on the Platform, you grant Taskal a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to all content you post and that your content does not infringe any third-party rights.

13. Platform Services and Payments

Taskal offers promotional services for Taskers to increase the visibility of their listings. These services are paid in full when ordered. We accept Credit Card payments on the Site, processed through our third-party payment processor (Stripe).

When you provide your payment information, you authorize us to charge the amount due to the payment instrument you have selected. If we believe your payment has violated any law or these Terms, we reserve the right to cancel or reverse your transaction.

We reserve the right to modify, reject, or cancel your order whenever it becomes necessary. If we cancel your order and have already processed your payment, we will give you a refund equal to the amount you paid.

14. Subscriptions and Promotions

If you subscribe to any paid services or promotional features on the Platform, your subscription will automatically renew at the end of each billing period. You will be automatically billed until we receive notification that you wish to cancel your subscription. You may cancel at any time by contacting us or through your account settings.

15. Dispute Resolution Between Users

Any disputes arising between Customers and Taskers are solely between those Users. Taskal is not obligated to mediate, arbitrate, resolve, or become involved in any disputes between Users, including but not limited to disputes regarding service quality, pricing, payments, property damage, timelines, or scope of work. You agree to resolve any disputes with other Users directly and without involving Taskal.

16. Links to Third-Party Websites

The Platform may contain links to third-party websites or services that we do not own or control. We are not responsible for the content, policies, or practices of any third-party website or service. It is your responsibility to review the terms and privacy policies of any third-party websites you visit.

17. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

18. Consumer Protection Law

Where the Consumer Protection Act, 2002 (Ontario), or any other consumer protection legislation in your jurisdiction applies and cannot be excluded, these Terms will not limit your legal rights and remedies under that legislation. These Terms will be read subject to the mandatory provisions of that legislation. If there is a conflict between these Terms and that legislation, the mandatory provisions of the legislation will apply.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the Province of Ontario for the resolution of any disputes arising under or in connection with these Terms.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

21. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Taskal with respect to your use of the Platform. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

22. Changes to These Terms

We reserve the right to amend these Terms at any time. Changes will be effective upon posting to the Platform. We may notify Users of material changes by email or by posting a prominent notice on the Site. Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms.
